VECOM will provide CUSTOMER with the following money back guarantee after four months from the time that CUSTOMER's SEO services are completed:

For example, if CUSTOMER has purchased "Standard - Top 10 SEO plan", VECOM guaranteed CUSTOMER 20 Top10 ranks, and if VECOM achieved only 16 Top10 ranks three months from the time that CUSTOMER orders VECOM's services, then, VECOM will give CUSTOMER a prorated amount back. So, in this example, VECOM would refund 20% money back to CUSTOMER. If VECOM exceeds the guaranteed number of ranks, CUSTOMER need not pay anything extra to VECOM.

The number of  top rank position that VECOM has obtained for the CUSTOMER will be calculated on the basis of the positions that VECOM has managed to obtained for CUSTOMER's web site in the major search engines and directories. Same keyword in two ranking positions in a search engine are considered as two rankings. TOP 10 Ranking refers to keyword search result in the first 10 positions or the first page. TOP 30 Ranking refers to keyword search result in the first 30 positions or the first 3 pages. The major search engines and directories are: About, Alltheweb, Alta Vista, AOL Search, Ask Jeeves, DMOZ, DogPile, EuroSeek, Evreka, Excite, Go Network, Google, Hotbot, LookSmart, Lycos, Mamma, MSN, Netscape, Overture, Teoma, Terra, MSN-UK, WebCrawler, Yahoo Directory, Yahoo Search.

CUSTOMER agrees not to target on single keywords or generic words. VECOM shall only optimize CUSTOMER's web site for multiple word keywords. VECOM does not promote web sites that contain unlawful, illegal, or infringing information of any kind. VECOM reserve the right to refuse providing any services to CUSTOMER by refunding the money.

The copyright to the pages created by VECOM will belong to the CUSTOMER. However, if CUSTOMER makes any changes or deletion of these pages without the advice of VECOM, VECOM will not be responsible for the consequences, nor any guarantee will be granted.

Unless CUSTOMER has purchased SEO Maintenance Plan, VECOM does not guarantee that the search engine positions that VECOM has obtained for CUSTOMER will be permanent.

In order to create the optimized pages and submission pages for CUSTOMER, CUSTOMER authorized VECOM to use all content related to CUSTOMER's web site. If necessary, CUSTOMER will promptly provide VECOM with the content required by VECOM.

VECOM reserve the right to modify and improve CUSTOMER's rankings when necessary during the first four month period after SEO services are completed.

VECOM will not divulge information related to the personal or financial affairs of CUSTOMER to any third party unless specifically instructed to do so by CUSTOMER.

CUSTOMER agrees that VECOM makes no claims nor guarantees regarding CUSTOMER's number of visitors, or sales the web site may generate, and will not be held liable.

CUSTOMER agrees that VECOM makes no claims nor guarantees that CUSTOMER's keywords or keyword phrases will appear or be added on all major search engines and directories. Refund will be granted based on VECOM's guarantee policy outlined above.

CUSTOMER agrees that SEO Maintenance Services shall be paid for by credit card on a quarterly basis, and automatically invoiced and billed for successive terms and payment for
services. Failure to pay any outstanding invoice by specified due date will lead to suspension of services with reinstatement only upon receipt of payment. No refunds or credits shall be earned for lapse of payment.

CUSTOMER agrees to upload necessary optimized pages and/or submission pages files created by VECOM to CUSTOMER'S web site, OR to provide VECOM with access to web site files via ftp or equivalent and shall hold VECOM harmless for liability in the event of accidental data loss, corruption, and/or deletion.

LIMITATION OF LIABILITY:
CUSTOMER agrees that the service is provided "as-is" without any warranties of any kind, express or implied. Neither VECOM nor any of its officers, employees, agents, information providers, licensors, licensees, attorneys, consultants or third party contractors, make any warranty or representation whatsoever regarding the services or any aspect of its use by CUSTOMER. VECOM hereby disclaims on behalf of itself and all its officers, employees, agents, information providers, licensors, licensees, attorneys, consultants
or third party contractors any and all warranties, including without limitation any warranties regarding the accuracy and availability of content, products or services, and warranties of title or merchantability.

Any liability of VECOM, including without limitation, any liability for damages caused by any failure of performance, error, omission, interruption, deletion, defect, failure of delivery of merchandise, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorized access to, alteration of, or unlawful use of records, whether for breach of contract, tortuous behavior, negligence, or under any other cause of action, shall be strictly limited to the amount already paid by CUSTOMER to VECOM for the services. In no event shall VECOM be liable for any indirect, incidental, or consequential damages, arising out of this Agreement, the use or inability to use the services or for any breach of warranty.

This Agreement shall be governed by the laws of the state of California, and in the event of a dispute, CUSTOMER agrees to submit to the jurisdiction of the state and federal courts located in Orange County, California.
